Charles Cooper is a Florida board certified tax lawyer, and has extensive experience representing clients in commercial real estate and business transactions. His commercial real estate experience includes representation of sellers, purchasers and lenders in a variety of areas, including negotiating and drafting documentation in connection with the acquisition and financing of real estate (including development and construction loans); refinancing of mortgage debt; and preparing commercial leases, “like kind” exchange documentation, covenants and restrictions for commercial centers and subdivisions, owners’ agreements and organizational documents for business property owners’ associations. Mr. Cooper also has extensive experience representing and advising clients in all phases of their business entities, including formation of corporations, partnerships and limited liability companies, through the operating and sale or dissolution stages. His work in this area includes assisting clients in selecting and organizing the appropriate business entity; establishing corporate procedures; preparation of shareholder and partnership buy-sell agreements; negotiating and drafting contracts, including employment contracts and leases; representation of business clients in federal and state tax planning matters, including administrative protests and appeals; and sales and acquisitions of businesses, including asset sales and purchases, sales of business entities, mergers and reorganizations. Mr. Cooper is a member of the Florida Bar and the Georgia Bar. He received the degree of LL.M. in taxation from the University of Florida, in 1989. He received his J.D., with honors, from Florida State University in 1988, and his B.S. in Accounting from Florida State University in 1985. He presently serves as a citizen member of the Leon County, Florida, Citizens’ Investment Oversight Committee.
