Stephanie M. Smith is a member of the firm’s Real Property and Commercial Transactions practice group in the Washington, D.C. office where she focuses on representing and advising clients in all aspects of developing and financing their real estate development projects to include multi-family, affordable housing and mixed-used commercial space, utilizing new markets tax credits, low-income tax credits, opportunity zone financing, private equity and public private partnerships.
With 27 years of experience representing start-ups, mid-sized and corporate for-profit and non-profit businesses, Ms. Smith has the expertise to understand their legal and financial needs to provide advice for all phases of their business ownership. With sound advisement, Ms. Smith has worked with developers and businesses to create communities; restructure their companies; acquire property; negotiate contracts; find financing; and close on their projects. She has also assisted with the technical aspects of transactional deals when representing buyers and sellers in all stages of development transactions to include performing the due diligence; drafting and negotiating joint ventures, partnership agreements, and sales contracts; and reviewing appraisals, title, and surveys. As a tax attorney by trade, Ms. Smith provides strategic tax advice related to real estate investment activities, which often includes negotiating with tax authorities related to these clients’ federal and state tax matters. Additionally, Ms. Smith handles probate administration matters for clients who need expert advice on how to manage, invest, and/or develop their inherited real estate properties.
Prior to joining Bryant Miller Olive, she was the Managing Partner for SMS Law Offices where she represented and advised LLCs, for-profit and non-profit corporations, and corporate trusts and estates on developing complex real estate development projects and planning their corporate tax strategies.
